Ochre Club Terms of Use

Version 2.1. Effective date: 22 September 2026.

IMPORTANT: Ochre Club sells only non alcoholic products. No alcohol is sold through this website.

1. Introduction and Acceptance of Terms

This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. These Terms of Use (“Terms”) govern your access to and use of the website at https://ochreclub.com and all related services (together, the “Platform”). The Platform is operated by Ochre Spirits Private Limited, a company incorporated under the Companies Act, 2013, CIN U10799GA2023PTC015881, with its registered office at 2nd Floor, No. 17, 7th Main Road, Indiranagar, Bengaluru, Karnataka 560038 (“Ochre Club”, “we”, “our” or “us”). Ochre Club is a brand of Ochre Spirits Private Limited.

By accessing or using the Platform, you agree to these Terms and to our Privacy Policy, which forms part of these Terms. If you do not agree, please do not use the Platform. We may update these Terms from time to time. Material changes will be communicated through a notice on the Platform or by email, and your continued use of the Platform after a change means you accept the updated Terms.

2. Eligibility

• You must be at least 18 years old and able to enter into a legally binding contract under the Indian Contract Act, 1872.
• If you use the Platform on behalf of a company or other entity, you confirm that you are authorised to bind that entity to these Terms.

We may suspend or end your access to the Platform if we reasonably believe you do not meet these requirements.

3. Account Registration and Security

Some features of the Platform may require an account. If you create one, you agree to:

• Provide accurate, current and complete information and keep it updated
• Verify your email address or mobile number using the one time password (OTP) we send you, and not share any OTP with anyone
• Keep your account credentials confidential
• Tell us immediately at yo@ochrespirits.com about any unauthorised access to your account
• Take responsibility for all activity under your account

We are not liable for loss arising from your failure to keep your credentials confidential or to tell us promptly about unauthorised access. We may disable any account that we believe has been used in breach of these Terms.

4. Orders and Payments

The Platform sells only non alcoholic drink mixers. All purchases are subject to the following terms.

4.1 Product availability. All products are subject to availability. We may limit quantities, discontinue products or change listings at any time. Product images are representative, and the actual product may vary slightly in appearance.

4.2 Pricing. All prices are in Indian Rupees and include applicable taxes unless stated otherwise. We may change prices at any time. The price that applies to your order is the price shown when you place it, subject to verification.

4.3 Order confirmation. Placing an order is an offer to buy. An order is confirmed only when we send you a confirmation. We may cancel or refuse any order, including where a product is unavailable, where we suspect fraud, or where there is an error in pricing or description.

4.4 Payment. Payments are processed by authorised third party payment gateway partners. We do not store your card details, net banking credentials or full UPI information. By paying, you confirm that you are authorised to use the payment method. We are not responsible for errors, delays or failures in processing by payment gateways.

4.5 Delivery. Delivery is subject to serviceable locations. Delivery timelines and charges are set out in our Shipping, Refund and Cancellation Policy. Risk in the products passes to you on delivery.

5. Returns, Cancellations and Refunds

5.1 Beverages. Because our products are food products, delivered orders cannot be returned, whether opened or unopened. If a product arrives damaged, defective, leaking or does not match your order, please follow Section 5.2.

5.2 Damaged, defective or incorrect products. If you receive a product that is damaged, defective, leaking or does not match your order, tell us within forty eight (48) hours of delivery by emailing yo@ochrespirits.com with your order number and photographs. After verifying your claim, we will send a replacement or issue a full refund.

5.3 Cancellations. You may cancel an order before it is dispatched by contacting us at yo@ochrespirits.com. Once an order is dispatched, it cannot be cancelled.

5.4 Refund timelines. Approved refunds are credited to the original payment method within seven (7) to ten (10) business days, as set out in our Shipping, Refund and Cancellation Policy.

6. User Conduct

You agree that you will not:

• Use the Platform for any unlawful purpose or in breach of any applicable law
• Post or share content that is defamatory, obscene, offensive, harassing, hateful or that encourages illegal activity
• Infringe the intellectual property rights of Ochre Spirits Private Limited or anyone else
• Impersonate any person or misrepresent your affiliation with any person or entity
• Introduce any virus, malware or other harmful code
• Attempt to gain unauthorised access to the Platform, our servers or connected systems
• Use bots, scrapers or similar tools to access or collect data from the Platform without our written consent
• Use the Platform in a way that could damage, overburden or impair it
• Copy, sell, resell or exploit any part of the Platform or its content without our written permission

We may remove content that breaches these Terms and suspend or close the accounts of users who breach them.

7. Intellectual Property

All content on the Platform, including the Ochre Club name and logo, product names, packaging artwork, website layout, graphics, text, photographs, videos and marketing copy, belongs to Ochre Spirits Private Limited or its licensors and is protected by Indian and international intellectual property laws.

You may access and use the Platform for personal, non commercial purposes only. You may not reproduce, distribute or publicly display Platform content for commercial purposes, modify or create derivative works from it, use our trademarks or logos without written consent, or scrape or systematically extract content. If you believe content on the Platform infringes your rights, write to us at yo@ochrespirits.com with full details.

8. Disclaimer of Warranties

To the extent permitted by law, the Platform and its content are provided on an “as is” and “as available” basis, without warranties of any kind, express or implied. We do not warrant that the Platform will always be available or error free, that defects will be corrected, or that the Platform is free of viruses. Product descriptions and serving suggestions are given in good faith.

9. Limitation of Liability

To the fullest extent permitted by law, Ochre Spirits Private Limited and its directors, officers, employees and agents are not liable for:

• Indirect, incidental, special, consequential or punitive damages, including loss of profits, data or goodwill
• Loss arising from unauthorised access to your account caused by your failure to keep your credentials confidential
• Loss arising from third party actions, including payment gateway failures, logistics delays or cyberattacks

Our total liability for any claim relating to these Terms or the Platform will not exceed the amount you paid for the product that gave rise to the claim. Nothing in these Terms limits liability for fraud, wilful misconduct, death or personal injury caused by negligence, or any liability that cannot be limited by law.

10. Indemnity

You agree to indemnify Ochre Spirits Private Limited and its directors, officers, employees and agents against claims, losses and expenses, including reasonable legal fees, arising from your breach of these Terms or of any law, any content you submit through the Platform, or your infringement of anyone else’s rights.

11. Third Party Links

The Platform may link to third party websites, social media platforms and payment gateways. These links are provided for convenience and do not mean we endorse them. Your use of third party sites is subject to their own terms and privacy policies.

12. Suspension and Termination

We may suspend, restrict or end your access to the Platform if we reasonably believe you have breached these Terms or any law, provided false information, or engaged in fraudulent or abusive conduct, if your account has been compromised, or if the law requires it. Sections 7, 9, 10 and 13 continue to apply after termination.

13. Governing Law and Disputes

These Terms are governed by the laws of India. Courts in Bengaluru, Karnataka have exclusive jurisdiction. Before starting any legal proceedings, please first contact us at yo@ochrespirits.com so we can try to resolve the matter. We aim to resolve disputes within thirty (30) days of receiving your message.

14. Force Majeure

We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, pandemics, government action, strikes, power failures, internet outages or cyberattacks.

15. Severability, Waiver and Entire Agreement

If any part of these Terms is found invalid, the rest continues in force. Our failure to enforce a right is not a waiver of it. These Terms, together with our Privacy Policy and other policies published on the Platform, are the entire agreement between you and us about your use of the Platform.
